Terms of Use and Sale

Terms governing access to and use of the vvl-lang.dev website, the public REPL and the VVL training platform (notebooks).

1. Definitions

Platform: the vvl-lang.dev website, the public REPL and the notebooks/training system. User: any person holding an account. Author: a User who creates and publishes trainings. Training: educational content in the form of VVL notebook(s). Usage credits: prepaid units debited on each request to the VAILS server. LLM key: an API key from a language-model provider, configured by the User. Subscription: the right to access a training for one (1) year.

2. Purpose

These Terms define how the Platform published by ProSuite OOD may be accessed and used. Any use of the Platform constitutes full acceptance of these Terms.

3. Account and access

Access to the Platform requires creating an account. The User is solely responsible for keeping their credentials confidential and for any activity carried out from their account. An Internet connection is required, at the User's expense.

4. REPL and usage credits

The public REPL is open to any User. An initial credit of €10 in usage credits is granted on sign-up. Each request sent to the VAILS server is charged at €0.01 per request, whether or not it calls a language model. When the balance is exhausted, the User may top up their account by credit card. Usage credits once consumed are non-refundable.

5. LLM key

Features that rely on a language model require the User to configure their own LLM key with a third-party provider. ProSuite OOD charges no LLM cost: any token fees are payable directly by the User to their provider. The User is responsible for the confidentiality and use of their key.

6. Purchase and access to trainings

Trainings offered on the Platform may be free or paid. Purchasing a training opens a one (1) year subscription granting access to its content. The price is shown inclusive of taxes before payment. The User acknowledges that immediate access to digital content entails waiving the right of withdrawal once the training has been accessed.

7. Authors and monetization

Any User may become an Author and create, publish and monetize their own trainings and notebooks. ProSuite OOD takes no commission on Authors' revenue. The Author retains ownership of their content and grants ProSuite OOD a non-exclusive licence solely for hosting and distribution on the Platform. The Author warrants that they hold the rights to their content and that it complies with applicable law.

8. Intellectual property

The VVL language, the VAILS server, the Platform, and the associated trademarks, logos and domain names are and remain the property of ProSuite OOD. No reproduction is permitted without written consent. Content created by Authors remains their property; Users' data and work belong to them.

9. Price and payment

Topping up usage credits and purchasing trainings are done by credit card. Payments are due immediately. In the event of non-payment, access to the relevant services may be suspended.

10. Term

A training subscription is entered into for a term of one (1) year from purchase. The User account remains active until deleted by the User or terminated for breach of these Terms.

11. Personal data

Personal data collected is processed in accordance with the GDPR, solely for purposes related to providing the services. You have rights of access, rectification, erasure, objection, restriction and portability, exercisable with ProSuite OOD (nky@prosuite.technology). See also the Privacy policy and the Cookie policy.

12. Service availability

ProSuite OOD uses its best efforts to keep the Platform available 24/7, with no guarantee of uninterrupted service. Maintenance operations may temporarily suspend access.

13. Warranty and liability

ProSuite OOD is bound by a best-efforts obligation. It cannot be held liable for content published by Authors, for results produced by a third-party language model, or for indirect damages. Save for mandatory legal provisions to the contrary, ProSuite OOD's liability is capped at the amounts actually paid by the User over the last twelve (12) months.

14. Force majeure

Neither party may be held liable for a failure resulting from an event of force majeure within the meaning of French law. The affected obligations are suspended for the duration of the event.

15. Changes to the terms

ProSuite OOD may amend these Terms. Users are informed of substantial changes. Any use of the Platform after they take effect constitutes acceptance.

16. Governing law and jurisdiction

These Terms are governed by French law. Failing amicable resolution, any dispute falls under the exclusive jurisdiction of the courts of Paris.

17. Severability

The invalidity of one clause of these Terms does not affect the validity of the other clauses.

18. Publisher and host

The site is published by ProSuite OOD and hosted by OVH SAS. Full contact details are in the Legal notice.
